Software License Agreement

This Software License Agreement ("Agreement") is between you ("Licensee") and KyroChat ("Licensor") for the use of KyroChat software and services.

By using KyroChat, you agree to be bound by the terms of this license agreement.

Grant of License

Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to:

• Access and use the KyroChat platform

• Create and deploy AI support agents

• Integrate KyroChat with your website and applications

• Access API and developer tools

This license is limited to the subscription plan you have purchased.

Restrictions

You may NOT:

• Reverse engineer, decompile, or disassemble the software

• Remove or modify any proprietary notices or labels

• Use the service for illegal or unauthorized purposes

• Resell, rent, or lease access to KyroChat

• Attempt to gain unauthorized access to our systems

• Use the service to transmit viruses or malicious code

• Violate any applicable laws or regulations

Intellectual Property Rights

All rights, title, and interest in KyroChat, including all intellectual property rights, remain with Licensor. This Agreement does not grant you any ownership rights to the software.

You retain all rights to your content (training data, conversations, knowledge base) uploaded to KyroChat. By uploading content, you grant us a license to process and store it for providing our services.

Usage Limits

Your use of KyroChat is subject to the limits of your subscription plan:

• Message volume limits

• Number of bots

• Storage capacity

• API rate limits

Exceeding these limits may result in service interruption or additional charges.

Data and Privacy

We process your data in accordance with our Privacy Policy. You are responsible for ensuring you have the right to upload and process any data through KyroChat.

You must comply with all applicable data protection laws (GDPR, CCPA, etc.) when using our service.

Warranties and Disclaimers

KyroChat is provided "AS IS" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The service will be uninterrupted or error-free

• Defects will be corrected

• The service is free from viruses or harmful components

• AI responses will be accurate or complete

Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use.

Our total liability for any claims shall not exceed the amount you paid for the service in the 12 months preceding the claim.

Termination

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of its terms.

We may suspend or terminate your account for:

• Violation of this Agreement

• Non-payment

• Illegal activity

• Abusive behavior toward staff or other users

Upon termination, you must cease all use of KyroChat and may lose access to your data.

Updates and Modifications

We reserve the right to modify this license agreement at any time. Changes will be effective immediately upon posting to this page.

Continued use of KyroChat after modifications constitutes acceptance of the updated terms.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Licensor is incorporated, without regard to conflict of law principles.

Any disputes arising from this Agreement shall be resolved through binding arbitration.
